NorthAI Solutions Customer Service Agreement

Version v1.2 (2026-08-22) · Effective date August 22, 2026

Selected package pricing

The package you select at checkout determines the scope of services and the fees that apply. Current packages, in Canadian dollars:

  • Starter — CA$997 one-time setup, then CA$197/month.
  • Growth — CA$2,500 one-time setup, then CA$497/month.
  • Enterprise — custom scope and pricing, confirmed in writing before work begins.

A. Parties and services

This Customer Service Agreement (the "Agreement") is between NorthAI Solutions ("NorthAI", "we", "us"), a business operating from Ontario, Canada, and the customer that accepts this Agreement at checkout (the "Customer", "you").

NorthAI provides AI receptionist and voice automation services and related business communication services, including automated call answering, information capture, notifications and, depending on the package, appointment booking and integrations.

The services you receive are those included in the package you select at checkout. Features and behaviour depend on the package purchased and on the configuration and information you provide. Features that are not listed in your package are out of scope unless separately agreed in writing.

You can reach us at hello.northaisolutions@gmail.com or 647 638 3476.

B. Fees and billing

The setup fee and recurring monthly fee for your selected package are displayed at checkout and are shown again in the Selected package section of this page.

All prices are in Canadian dollars unless otherwise stated. The one-time setup fee is charged at checkout, together with the first period of the recurring subscription. Recurring subscription charges then occur automatically at the start of each subsequent billing period, on the same billing day.

Applicable taxes may be added where required by law. There are no hidden fees: charges beyond the setup fee, the recurring subscription and applicable taxes only apply where you have agreed to them in writing.

Payments are handled by our third-party payment processor. NorthAI does not receive or store your full card details. Failed or reversed payments may result in suspension of the service until the balance is settled.

C. Subscription and renewal

Your subscription renews automatically for successive billing periods matching the billing period you selected, unless it is cancelled in accordance with this Agreement.

You may request cancellation at any time by emailing hello.northaisolutions@gmail.com from the email address on your account, or by calling 647 638 3476. No cancellation form, retention call, or additional step is required.

Unless you request otherwise, cancellation takes effect at the end of the billing period in which the request is received. Your service continues until then, and no further recurring charges are made after that period ends.

After cancellation takes effect, your AI receptionist stops answering calls, call routing to the NorthAI number ends, and access to related NorthAI-hosted features stops. On request made within 30 days of cancellation, we will provide an export of the lead and booking data captured for your business.

D. Refunds and cancellation

If you request cancellation, we will confirm the effective date in writing and stop future billing as described above.

The setup fee covers configuration work that begins promptly after purchase. Where that work has already been performed, the setup fee is treated as non-refundable, subject to any rights you may have under applicable law. If you cancel before configuration work has started, we will refund the setup fee.

Recurring fees already paid for a current billing period are generally not pro-rated, and the service remains available for the remainder of that period. We review refund requests in good faith on a case-by-case basis, including where the service was not delivered as described.

Approved refunds are issued to the original payment method through our payment processor, normally within 5 to 10 business days of approval.

Nothing in this Agreement limits or excludes any rights or remedies that cannot lawfully be limited or excluded under applicable law, including mandatory cancellation, refund, and consumer protection rights.

E. Service performance and no guaranteed results

NorthAI provides technology and automation services intended to help businesses improve call handling and lead follow-up. Business outcomes vary.

NorthAI does not guarantee any specific number of calls answered, leads, appointments, customers, sales, revenue, or return on investment.

AI performance can vary depending on your business, your configuration, call volume, the information you provide, caller behaviour, telephony conditions, third-party services, and other circumstances.

We will make reasonable efforts to provide the contracted service, but we do not guarantee uninterrupted, error-free, or perfectly accurate operation. The service is not a substitute for emergency services or for medical, legal, or financial advice.

F. Customer responsibilities

You are responsible for:

  • Providing accurate and current business information.
  • Providing accurate business hours, services, pricing guidance, FAQs, appointment rules, and any other information used to configure your receptionist.
  • Maintaining access to any calendars, CRMs, or other integrations you choose to connect.
  • Ensuring that the instructions you give NorthAI are lawful.
  • Reviewing your AI receptionist configuration before it goes live.
  • Informing NorthAI about material changes to your business information.
  • Keeping your payment method valid and up to date.

G. AI and third-party technology

The service depends on third-party technology providers, which may include providers of:

  • voice and telephony services
  • AI models
  • hosting and infrastructure
  • payment processing
  • calendars and scheduling
  • messaging and email delivery
  • analytics
  • other integrations you request

Those providers operate under their own terms, and outages, deprecations, pricing changes, or functional changes on their side may affect the availability or behaviour of the service.

NorthAI is not responsible for circumstances that are completely outside its reasonable control, but we will make reasonable efforts to restore or work around affected functionality.

H. Calls, recordings and personal information

In providing the service, NorthAI may process information supplied during calls and related interactions, including:

  • names
  • telephone numbers
  • appointment information
  • messages and call summaries or transcripts
  • business information you provide
  • other information necessary to provide the service

This information is processed to provide, maintain, secure, troubleshoot, and improve the contracted service, as permitted by applicable law and in accordance with your instructions.

NorthAI does not use customer or caller content, recordings, transcripts, or personal information to train general-purpose AI models, or for unrelated advertising, without the applicable customer's express authorization.

Where calls are recorded, transcribed, monitored, or otherwise processed in a way that requires notice or consent, NorthAI provides configuration options for appropriate disclosures. You remain responsible for providing accurate business-specific instructions and for ensuring that your use of the service complies with applicable law.

Information may be processed and stored by the service providers described in section G as necessary to deliver the service.

See the NorthAI Solutions Privacy Policy for more information about what is collected, why, how long it is kept, and how to make a privacy request.

I. Customer authorization and legal compliance

You are responsible for ensuring that your use of the NorthAI service complies with the laws and regulations that apply to your business, including requirements relating to:

  • privacy and personal information
  • consent
  • telephone communications
  • marketing communications
  • call recording and call monitoring notices
  • communications with your customers

You confirm that you are authorised to provide the information and instructions you give us, and to have calls to your business handled by the service.

NorthAI does not provide legal advice and does not certify your compliance with any law or regulation.

J. Intellectual property

  • NorthAI retains all ownership of its platform, software, technology, systems, prompts, templates, branding, and pre-existing materials, including improvements to them.
  • Customer businesses retain control of the business data they provide to NorthAI and the lead and booking information generated through their use of the service, subject to applicable privacy laws and the rights of the individuals whose personal information is included.
  • During your subscription, NorthAI grants you a non-exclusive, non-transferable right to use the service for your own business purposes, in accordance with this Agreement.

K. Confidentiality

Each party may receive non-public business information from the other. Each party will use the other party's confidential information only to perform or receive the service, will protect it with at least reasonable care, and will not disclose it to third parties except to personnel and service providers who need it and are bound by comparable obligations, or where disclosure is required by law.

This does not apply to information that is or becomes public without breach, is independently developed, or is lawfully received from a third party without restriction.

L. Security

NorthAI uses reasonable technical and organisational safeguards appropriate to the service, including access controls and encryption of data in transit. Access to customer data is limited to people who need it to deliver or support the service.

No internet-connected system can be guaranteed to be completely secure. We will notify affected customers of a material security incident as required by applicable law.

M. Limitation of liability

To the maximum extent permitted by applicable law, NorthAI is not liable for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost business, lost data, or missed opportunities, arising from or relating to the service.

To the maximum extent permitted by applicable law, NorthAI's total aggregate liability arising from or relating to this Agreement is limited to the amounts you paid to NorthAI in the three months immediately before the event giving rise to the claim.

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, and nothing limits rights that apply to you under mandatory consumer protection law.

N. Indemnification

Subject to applicable law, you will defend and indemnify NorthAI against third-party claims, damages, and reasonable costs arising from your unlawful use of the service, from content or instructions you provide, or from your violation of third-party rights, except to the extent the claim arises from NorthAI's own breach, negligence, or wilful misconduct.

O. Suspension and termination

NorthAI may suspend or terminate the service for:

  • non-payment
  • misuse of the service
  • unlawful activity
  • security risks to the service or to other customers
  • material breach of this Agreement that is not remedied after reasonable notice, where remedy is possible

Where practicable, we will give notice before suspending or terminating, and an opportunity to fix the issue.

After termination, your AI receptionist stops answering calls and access to NorthAI-hosted features ends. Amounts already due remain payable, and you may request an export of your captured lead and booking data within 30 days.

P. Force majeure

Neither party is liable for a failure or delay in performance caused by events outside its reasonable control, including major network, telecommunications, or cloud provider outages, cyber attacks, power failures, natural disasters, epidemics, labour disruptions, or government actions. Payment obligations for service already provided are not excused.

Q. Changes to this Agreement

If we make a material change to this Agreement, we will publish an updated version with a new version number and effective date and will notify active customers by email at least 30 days before the change takes effect, unless a shorter period is required by law or by a security or legal requirement.

If you do not accept a material change, you may cancel as described in section C before it takes effect. Material contractual terms will not be changed silently, and where consent is required by law we will obtain it.

Previous versions remain available, and each acceptance record continues to reference the exact version accepted at that time.

R. Governing law

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, and the parties submit to the courts of Ontario, subject to any mandatory rights or forums that apply to you under applicable law.

The parties will first attempt to resolve any dispute informally by contacting each other in writing.

S. Entire agreement, severability, waiver, assignment, electronic acceptance

  • Entire agreement: this Agreement, together with the package details recorded at checkout and the policies it links to, is the entire agreement between the parties about the service and replaces prior discussions on that subject.
  • Severability: if any provision is found unenforceable, the rest of the Agreement remains in effect and the provision is applied to the maximum extent permitted.
  • Waiver: a failure to enforce a provision is not a waiver of the right to enforce it later.
  • Assignment: neither party may assign this Agreement without the other's written consent, except to a successor in connection with a merger, reorganisation, or sale of substantially all assets.
  • Electronic acceptance: by entering your name and email, ticking the acceptance box, and continuing to payment, you agree that your electronic acceptance is valid, binding, and enforceable in the same way as a handwritten signature. We record your name, email address, selected package, price and currency, the agreement version, the date and time of acceptance, and, where legally appropriate, your IP address and browser user agent. A copy is available on the agreement receipt page and is linked in your confirmation email.
